• Late payments may result in service suspension after a 10-day grace period
• Prices are subject to change with 30 days written notice

6 Intellectual Property

All content, materials, trademarks, logos, and intellectual property on our website and in our deliverables are owned by or licensed to Global Bridge Holdings LLC. You may not:

• Reproduce, distribute, or create derivative works without written permission
• Use our trademarks or branding without explicit authorization
• Reverse engineer any of our proprietary tools or methodologies
• Resell or sublicense our services without written agreement

Work product specifically created for your business under a service agreement becomes your property upon full payment of applicable fees.

7 Prohibited Uses

You agree not to use our services to:

• Engage in any illegal activities or facilitate illegal businesses
• Misrepresent your identity or business information
• Interfere with or disrupt our systems or other users
• Transmit malware, viruses, or harmful code
• Violate any applicable laws, regulations, or third-party rights

8 Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law:

9 Limitation of Liability

• Any damages exceeding the fees paid in the three months preceding the claim

10 Indemnification

You agree to indemnify, defend, and hold harmless Global Bridge Holdings LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of our services in violation of these Terms
• Your violation of any third-party rights
• Your breach of applicable laws or regulations
• Any misrepresentation you make in connection with our services

11 Termination

Either party may terminate the service agreement in accordance with our Cancellation Policy. We may immediately terminate or suspend access to our services if you:

• Violate any provision of these Terms
• Fail to make required payments
• Engage in fraudulent or illegal activities
• Harass or threaten our employees or representatives

Upon termination, all provisions that should survive (including IP ownership, limitation of liability, and indemnification) will continue to apply.

12 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions. Any disputes shall be resolved in the appropriate courts of the United States, and you consent to personal jurisdiction in such courts.

13 Dispute Resolution

In the event of any dispute arising from these Terms or our services, the parties agree to:

1. First attempt to resolve the dispute through good-faith negotiation
2. If unresolved within 30 days, submit to binding arbitration
3. Arbitration shall be conducted under AAA Commercial Arbitration Rules
4. Class action lawsuits are expressly waived

14 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice at least 30 days in advance. Continued use of our services after changes constitutes acceptance of the updated Terms.
